Rename a medical corporation
A medical corporation must do the following in order to change its name:
- ensure the new name complies with the corporate name requirements under the Bylaws
- deliver to the registrar a completed medical corporation permit application
Application processing fee: C$350 per registrant
Annual permit fee: C$135
Expiry: one fiscal year
Repurpose a non-medical corporation
An existing non-medical BC company intending to repurpose and become a professional medical corporation must satisfy the following conditions and requirements of the HPA and Bylaws:
- ensure the (new) name complies with the corporate name requirements under the Bylaws
- deliver to the registrar a completed medical corporation permit application
Application processing fee: C$350 per registrant
Annual permit fee: C$135
Expiry: one fiscal year
Amalgamate
A medical corporation must do the following in order to amalgamate:
- ensure the new name complies with the corporate name requirements under the Bylaws
- deliver to the registrar a completed medical corporation permit application
Application processing fee: C$350 per registrant
Annual permit fee: C$135
Expiry: one fiscal year
Reorganize
In order to reorganize or change the information provided in its initial medical corporation permit application, a medical corporation must:
- notify the registrar by emailing the ºÚÁÏÉç the proposed changes or reorganization
- include the revised information required under the Bylaws:
- a true copy of the Notice of Articles issued to the corporation under the Business Corporations Act
- the names of each shareholder
- the number and class of shares held by each shareholder
- the status of each shareholder as registrant, spouse, child or relative of the registrant holding company or trustee of each shareholder
- the names of each director and officer
The ºÚÁÏÉç is currently waiving the applicable fees for consents to reorganizations.
Join as a voting shareholder
An individual or a holding company intending to join an existing medical corporation as a voting shareholder must do the following:
- ensure the joining voting shareholder complies with conditions and requirements of the HPA and Bylaws
- deliver to the registrar a completed medical corporation permit application
Application processing fee: C$350 per registrant
Annual permit fee: waived
Expiry: one fiscal year
Restore following dissolution
A medical corporation must do the following if it is applying for restoration following dissolution under the Business Corporations Act:
- ensure the new name complies with the corporate name requirements under the Bylaws
- deliver to the registrar a completed medical corporation permit application
Application processing fee: C$350 per registrant
Annual permit fee: C$135
Expiry: one fiscal year
Reactivate
A medical corporation must do the following if is applying for reinstatement after the inactivation or revocation of a former permit:
- ensure the new name complies with the corporate name requirements under the Bylaws
- deliver to the registrar a completed medical corporation permit application
Application processing fee: C$350 per registrant
Annual permit fee: C$135
Expiry: one fiscal year
Cease medical services
A medical corporation that ceases to comply with the Bylaws and is no longer providing medical services to the public must:
- notify the registrar by submitting an Inactive Notification form
- surrender its medical corporation permit
- if required by the registrar to change its name, deliver to the registrar a certificate of change of name from the Registrar of Companies
